1. Acceptance of Terms

By accessing or using the Owoye platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User") and Owoye Institutional Systems ("Owoye", "we", "us").

2. Description of Service

Owoye is a business financial management platform that allows Nigerian businesses to aggregate bank transactions via open banking, generate and manage invoices, track customers, and gain financial insights powered by AI.

The Service is provided as-is and is subject to change. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years of age and a registered business owner or authorised representative to use Owoye. By creating an account, you confirm that all information you provide is accurate, current, and complete.

Corporate accounts must be registered under a valid Nigerian business entity. Owoye reserves the right to verify business registration details at any time.

4. Account Responsibilities

You are responsible for maintaining the security of your account credentials. Owoye enforces a single active session per account — each new login automatically invalidates all previous sessions.

You must not share your account credentials, use automated tools to access the Service, or attempt to circumvent authentication measures. Any activity conducted through your account is your responsibility.

You must notify us immediately at support@owoye.com if you suspect unauthorised access to your account.

5. Open Banking & Third-Party Integrations

Owoye uses Mono (mono.co) to facilitate read-only access to your bank accounts. By connecting a bank account, you authorise Mono to retrieve your transaction data on our behalf. You are also bound by Mono's terms of service.

Owoye accesses your financial data solely to provide the features described in the Service. We do not initiate payments, transfers, or any write operations on your bank accounts.

You may disconnect any bank account at any time from Settings. Disconnecting an account does not delete historical transaction data already synced.

6. Financial Data & AI Features

The Kara AI assistant and financial insights provided by Owoye are for informational purposes only and do not constitute financial advice. Always consult a qualified financial professional before making significant business decisions.

Owoye is not responsible for any financial losses resulting from decisions made based on data or insights displayed on the platform, including but not limited to errors in synced transaction data or AI-generated predictions.

7. Invoice & Customer Data

You retain full ownership of all invoice and customer data you create within Owoye. We act as a data processor on your behalf.

You are responsible for ensuring that invoices sent through Owoye comply with Nigerian tax and accounting regulations, including any Value Added Tax (VAT) obligations.

8. Intellectual Property

All intellectual property rights in the Owoye platform, including its design, software, trademarks, and content, are owned by Owoye Institutional Systems. Nothing in these Terms grants you any ownership rights in the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service, or attempt to extract the source code.

9. Payment & Subscription

Access to certain features may require a paid subscription. Subscription fees are billed in advance and are non-refundable except where required by Nigerian consumer protection law.

We reserve the right to change subscription pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

10. Limitation of Liability

To the maximum extent permitted by Nigerian law, Owoye shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Owoye's total liability for any claim arising from the Service shall not exceed the total fees you have paid to Owoye in the 12 months preceding the claim.

11. Termination

You may terminate your account at any time by contacting support@owoye.com. Upon termination, your access to the Service will cease and your data will be deleted in accordance with our Privacy Policy.

We may suspend or terminate your account without notice if you breach these Terms, engage in fraudulent activity, or pose a security risk to other users.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
